This End User License Agreement governs your download, installation, deployment and use of FlowCentral Convergence. Please read it carefully before using the Software.
This End User License Agreement ("Agreement") is between FlowCentral Technologies Limited ("FlowCentral", "we", "us", or "our") and the individual or organization ("you" or "Licensee") that downloads, installs, deploys, or uses FlowCentral Convergence ("Software").
By downloading, installing, deploying, or using the Software, you agree to this Agreement. If you do not agree to these terms, do not use the Software.
FlowCentral Convergence is available in two editions:
Developer Edition - provided without a license fee and may be used for development, testing, evaluation, demonstration, and operational purposes subject to this Agreement.
Enterprise Edition - provided with a 30-day evaluation period and thereafter requires a valid annual commercial license.
The Developer Edition does not require a license or subscription fee from FlowCentral.
You may install, use, and deploy the Developer Edition without limitation on the number of installations or deployed instances.
The Developer Edition may be used for development, testing, evaluation, demonstration, and production purposes, subject to the terms of this Agreement and applicable third-party licenses.
The Enterprise Edition may be evaluated and used for 30 days without an annual commercial license.
After the 30-day evaluation period, continued use of the Enterprise Edition requires a valid annual license issued by FlowCentral.
An Enterprise Edition license permits use of the Software in accordance with the terms of the applicable license agreement or commercial order.
Unless otherwise expressly agreed in writing, the Enterprise Edition license does not include technical support, consulting, implementation, training, or other professional services.
FlowCentral does not impose a limit on the number of Software downloads.
You may download the Software as reasonably necessary for legitimate development, testing, evaluation, deployment, backup, or operational purposes.
FlowCentral does not impose a general limit on the number of deployed Software instances.
For the Developer Edition, there is no license fee or limit on the number of deployed instances.
For the Enterprise Edition, continued use after the 30-day evaluation period requires a valid annual license. Unless otherwise expressly stated in a written commercial agreement, the annual license does not impose a per-instance deployment limit.
Technical support and professional services are separate from the Software license.
FlowCentral may provide paid support under a separate support agreement or service contract. Such services may include technical support, implementation assistance, configuration, consulting, training, customization, or other professional services.
Payment of an Enterprise Edition annual license does not, by itself, entitle you to paid support services.
Online documentation for FlowCentral Convergence is made available by FlowCentral and covers both the Developer Edition and Enterprise Edition.
Documentation may include installation, configuration, administration, development, deployment, and usage information.
FlowCentral may update or modify the documentation from time to time.
Subject to this Agreement and, where applicable, payment of the required Enterprise Edition license fees, FlowCentral grants you a non-exclusive, non-transferable right to install, use, and deploy the applicable edition of the Software for legitimate business, development, testing, evaluation, or operational purposes.
You may not:
Nothing in this Agreement transfers ownership of the Software or FlowCentral's intellectual property to you.
The Software may include open-source or other third-party software components.
Such components may be subject to separate license terms. Those terms apply to the relevant third-party components and are not superseded by this Agreement.
FlowCentral Convergence, including its software, architecture, design, documentation, trademarks, logos, and associated materials, is protected by applicable intellectual property laws.
Except for the rights expressly granted under this Agreement or applicable third-party licenses, FlowCentral Technologies Limited retains all rights, title, and interest in the Software.
FlowCentral and FlowCentral Convergence are trademarks or proprietary marks of FlowCentral Technologies Limited, where applicable.
FlowCentral may release updates, patches, bug fixes, upgrades, new versions, or other modifications to the Software.
FlowCentral may also modify or discontinue particular features or distribution channels.
Unless expressly stated otherwise, an update does not extend or renew an expired Enterprise Edition license.
To the maximum extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express, implied, or statutory.
FlowCentral does not warrant that the Software will be uninterrupted, error-free, completely secure, or suitable for every particular purpose.
You are responsible for determining the suitability of the Software for your intended use and for maintaining appropriate backups, security controls, and operational safeguards.
To the maximum extent permitted by applicable law, FlowCentral Technologies Limited, its directors, officers, employees, affiliates, licensors, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Software or its use.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
This Agreement remains effective for as long as you use the Software.
Your right to use the Enterprise Edition terminates when the applicable annual license expires or is terminated, unless the license is renewed or another valid license is obtained.
FlowCentral may terminate your rights under this Agreement if you materially breach its terms and fail to remedy the breach within a reasonable period after receiving notice.
Upon termination, you must cease any use of the Software for which you no longer have a valid license.
This Agreement shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising from or relating to this Agreement shall be subject to the jurisdiction of the competent courts of Nigeria, unless otherwise agreed in writing by the parties.
FlowCentral may update this Agreement from time to time.
Material changes may be communicated through the FlowCentral website, Software distribution channels, documentation, or other reasonable means.
Your continued use of the Software after an updated Agreement becomes effective constitutes acceptance of the updated terms, to the extent permitted by applicable law.
This Agreement constitutes the agreement between you and FlowCentral concerning your use of FlowCentral Convergence, except where a separate written agreement expressly supplements or supersedes these terms.
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
